The surge in mergers and acquisitions, expected to continue into the foreseeable future, will have two significant implications. Firstly, it will further tip the financial and capital access balance in favor of large, national, public homebuilding enterprises, potentially squeezing out smaller, privately-owned firms that rely on bank lending. The result: greater concentration, consolidation, and local market scale efficiency opportunities owned by the publics.

The second outcome, perhaps overshadowed by the surge in transaction activity, is the need for meticulous planning and execution in M&A deals. A considerable share of the new combinations may not unfold as intended, underscoring the importance of strategic decision-making for both the seller and the buyer.

As we've noted, M&A competencies – from an end-to-end value cycle standpoint – are only partly exposed in the negotiations, diligence, valuations, and final financial agreements and closing. The other part of that skill-set comes, albeit along differing processes and timelines from acquirer to acquirer, with the integration of the selling organization into its new parent.

As we reported here, owners of Logan, Utah, 20-year-old stalwart Visionary Homes agreed to Tokyo-based Misawa Homes' purchase of a 51% stake in the company as Utah's star rises as a post-pandemic technology and business center.

We had an opportunity this past week to talk one-to-one with Jeff Jackson, CEO of Visionary, which he co-founded with Justin Cooper in 2004. Jeff provided a detailed and personal account of the reasons behind Visionary Homes' partnership with Misawa, and set out his hopes and expectations for the integration phase ahead.

The decision was rooted in a strategic and cultural alignment between the two companies and the desire to ensure the company's future sustainability and growth. In the context of that integration, Visionary Homes aims to expand its market presence within Utah and potentially into other Western states. The partnership positions Visionary Homes as a key player in Misawa's broader strategic goals for growth in the U.S. housing market.

  • Strategic and Cultural Alignment: Jackson emphasized the importance of finding a partner whose values and mission align closely with those of Visionary Homes.
What impresses me about Misawa is they are trying to figure out how to bring building affordability and energy performance technologies that in America have been regarded as exclusive among custom home builders, advancing affordability for the production home builder world," Jackson tells The Builder's Daily.

He highlights how both companies are committed to innovation and improving the homebuilding process.

  • Sucession Planning Starting in 2017: The journey towards this partnership began in 2017 when Visionary Homes started considering its long-term future.
We started the quest in 2017 to figure out what an exit strategy might look like," Jackson explains. The primary goal was to create a legacy and ensure the company's longevity rather than merely winding down operations after the founders' retirement. This strategic planning was aimed at protecting the interests of employees, customers, and the community.
  • Aligning Values with Misawa Homes: Jackson shares an insightful story about the due diligence process highlighting the deep alignment between Visionary Homes and Misawa Homes.
I put together a PowerPoint presentation that aligned their values and our values side by side, and they truly fit hand in glove," he recounts. This exercise demonstrates that despite being continents apart, the two companies hold remarkably similar core beliefs and mission statements. Jackson also emphasizes Visionary Homes' catchphrase "Edify," which means enhancing and improving the lives of customers, employees, and industry partners. "Obviously, this business has a lot of things that can go wrong, and there's a lot of negotiation that happens in this business, from land to trade partners to suppliers, but we still believe that even though sometimes we might be at odds with someone, we can do it in a way that we both leave better. I don't believe in a win-lose situation. I think we should look for win-win opportunities. And Misawa embodies that as well in their mission statement."

"I believe, with this partnership, we're now set up that it will continue for generations, and that's Misawa's vision," Jackson said. The company started small, building one or two custom homes a year, and has grown into a significant player in the Utah housing market. The company's portfolio includes single-family homes, townhomes, and condos spread across 30 active communities from Logan to St. George, Utah.
